Formation of business structures
For many years we have assisted accounting firms establish business structures for their clients.
We frequently assist in preparing documents for specialised business structures and associated agreements such as shareholders’ agreements. We also provide tailor-made client specific deeds for superannuation and trusts, in addition to document packages for standard situations available for purchase below.
Part of our service is to provide document packages for standard situations, including:
- self managed super funds (smsf)
- single family discretionary trusts – company trustees
- single family discretionary trusts – human trustee
- unit trusts
- partnership agreements
- division 7A agreements (unsecured)
- standard companies
To order your selected package
Select the appropriate document package above and download the order form.
For more information please telephone Michaela Schmidt or Amanda Tully for information, or Debby Vitnell to arrange a faxed or emailed order form on 02 6942 1655 or 1800 618 869.
Orders are best made via submitting the PDF order online, email (info@jmalegal.com.au) or fax (02 6942 3692).
Review by a lawyer
All order forms are reviewed by an experienced lawyer on receipt. We call you if we spot any issues requiring discussion or clarification.
A full set of documents are prepared. From the order form we complete a full set of documents required to set up the entity you order.
Our turn-around time – Urgent orders are e-mailed on the day of order if ordered before 3pm. Otherwise, documents will be sent to you by e-mail within 48 hours of receipt of the order.
Stamp duty
If the documents need to be stamped, we attend to that for you if you ask us. Otherwise, you will need to do that where applicable.
Storage of documents once signed
We encourage registration of trust deeds in the general register of deeds maintained by the Department of Land and Property Information. This provides a permanent record of the terms, signing and stamping. It is invaluable if the original is ever lost or destroyed.
Otherwise, we do not keep copies of any signed documentation that you may send to us for any reason.
What does it cost?
If you order the documentation on the basis of completing our order form, our GST inclusive fees are:
- self managed super funds (smsf) – $750
- single family discretionary trusts – company trustees – $750
- single family discretionary trusts – human trustee – $750
- unit trusts – $750
- partnership agreements – $990
- division 7A agreements – $990 (unsecured)
- standard companies – $1,260 (incl. of $645.60 ASIC registration fee)
The prices for trusts and super funds do not include stamp duty and registration fees.
We highly recommend the registration of all trust deeds and SMSF – $186.02
Stamp duty for discretionary trust deeds – $500
Multiple family documents vary too much to be standard. For these we normally charge on the basis of time reasonably spent and a precedent charge.
Our documents
We update our documents as circumstances and laws change, however, our service does not include responsibility to advise you of changes that may affect you. We welcome feedback from clients. Updates to our documents frequently follow this feedback. We aim for simple but flexible documents. They are all written in language you can read.
Telephone support
We offer free telephone support, within reason. We can’t accept professional responsibility for actions taken on the basis of verbal advice. If something more formal is required, we ask for written instructions to which we make a written reply on a normal time charging basis.
Liability for taxation issues
Liability for the taxation or asset protection issues in respect of the structure is not accepted unless we have been asked to and given you a written advice.
Advice on related issues
We continuously act for clients on the tax and other implications of super funds, companies, partnerships and all forms of trusts. Please do not hesitate to contact us if you would like to discuss any aspect of these structures.
If you need any assistance contact one of our lawyers at info@jmalegal.com.au or call 6942 1655 for a no-obligation discussion and for expert legal advice.
